The Contracts Coordinator, Information Security Specialist is responsible for providing critical contractual and operational support to the Sales team and Legal regarding Iron Mountain’s business and information security practices, managing all aspects of the contracts process from start to finish. This role is responsible for assisting negotiations and resolving legal issues for information security practices relating to Iron Mountain’s customer agreements, partner and reseller agreements, and vendor agreements; collaborating with internal business partners to develop contract negotiation strategy for Information Security practices; and ensuring appropriate risk related to Information Security in contracts by negotiating Iron Mountain-preferred language whenever possible. The role is expected to work closely with the Information Security team and learn Iron Mountain’s information security posture. Role must have demonstrated knowledge of information security and contracts management practices.
Draft, negotiate and advise internal business teams on information security terms in contractual documents including customer facing agreements, partner, and vendor agreements, and associated documents related to privacy and information security. Manage multiple transactions at a time.
Proactively identify disparities, gaps and contradictions in business and information security specifications within contracts or requests from Sales, then edit documents accordingly, seeking approvals if necessary. Take a creative approach to problem solving by seeking clarity on complex contractual issues from business owners, then implementing non-standard language within contracts.
Possess working knowledge of information security principles and the legal issues associated with them. Familiarity with standard and fallback positions and ability to pose creative solutions to help meet business needs.
Resolve information security, business and operational matters by weighing customer requirements against internal company policies, finding as much compromise as possible in order to meet or exceed customer expectations.
Work as an effective and collaborative business partner with internal business teams including account, sales, procurement, privacy and compliance, and others. Develop information security legal strategy for negotiations, clearly and concisely explain information security terms of contracts to internal clients, present options for negotiations, and negotiate directly with customers, partners and vendors.
Ensure operational and business issues within contracts have been reviewed and approved by subject matter experts (e.g. Information Security, Product Management, Finance, Sales, Operations, etc.), senior management and the Legal Dept.
Effectively manage workflow to meet multiple deadlines, as well as the expectations of internal and external clients.
Assist with various projects on an as-needed basis. Including assistance with updates to Iron Mountain’s information security exhibits supporting customer and vendor contract templates and alternative language guides.
Assist with creation of information security terms for new contract templates to support new service offerings as needed.
Other Position Skills and Attributes:
Education/Experience: 4-year college degree 3-5 years contracts administration experience
General understanding of standard contract provisions, e.g. liability, confidentiality, indemnity, etc. and strategic approaches to contracting for customer, vendor and partner agreements.
Some knowledge of privacy law and key components of information security practices.
Solid writing, editing and proofing skills as they relate to drafting and modifying contractual documents
Negotiation skills with an understanding of some negotiation strategies and implications of contract language nuances.
Strong attention to detail, specifically as it pertains to the drafting and review of contracts, including grammar and formatting
Ability to assess issues from information security, legal, and business perspectives to clearly define risks, provide solutions, and succinctly articulate positions.
Ability to gain an understanding of a project through communications with Sales or by reading a contractual document including statements of work
Ability to translate business specifications into contractual documents; strong business acumen
Strong project management skills with the ability to influence and achieve results through others
Ability to adapt quickly and effectively to changing workloads and business pressures
General understanding of software as a service and licensed software technologies
Familiarity with providing contractual support for Reseller and Channel partnerships
Strong work ethic with proactive attitude to accomplish tasks
Solid and professional communication skills with internal and external business partners
Ability to learn new systems and software as needed
Google Suite, Microsoft Word skills and general understanding of Microsoft Excel and PowerPoint. Preferred experience in Salesforce.com
Comfortable interacting with all areas of the organization including senior management
Prior experience directly supporting a Sales team in a contractual capacity, preferably in a services based industry
